Sona Comstar battle: Sanjay Kapur's mother and wife involved in Rs 30,000 crore dispute

After Industrialist Sunjay Kapur's sudden death during a polo match in London last month, Rani Kapur (his mother) and Priya Sachdev Kapur (wife) are now involved in an intense battle over Sona Comstar, the 30,000 crore global company. 

In its Annual General Meeting (AGM) held on July 25, the company, Sona BLW Precision Forgings (Sona Comstar), appointed Priya Sachdev Kapur as the Non-Executive Director. While Rani Kapur sought to stop the AGM, claiming that she had been forced to sign the documents on June 23, after Sanjay died.

Rani Kapur claims to be the sole representative of the Kapur family and Sona Comstar. She objected to "passing of a resolution to appoint certain directors." Without citing a name, she was referencing Priya Sachdev Kapur. 

However, the company has said that Rani Kapur has not been a shareholder since 2019. It noted, "In May 2019, the company received a declaration of significant beneficial ownership identifying Shri Sunjay Kapur as the sole beneficial owner of RK Family Trust, a significant shareholder of Aureus Investments Pvt. Ltd (AIPL). 

In her letter dated July 25 to the board of the company, Rani Kapur has alleged that at a time when the family is mourning Sunjay's sudden death last month, "some people have chosen this as an opportune time to wrest control and usurp the family legacy."

While claiming herself as the sole beneficiary of her late husband Surinder Kapur's estate, Rani Kapur cited a will from 10 years ago, of 30th June 2015. The will states her to be the majority shareholder of Sona Comstar, including its shares in the auto components company.

Sona BLW Precision Forgings (Sona Comstar) has been registered as a public limited company since June 2021. 71.98% of the company is public shareholding, while 28.02% is held by its corporate promoter, i.e., Aureus Investments Private Limited (AIPL). 

At the time of his death, Sanjay Kapur's net worth was $1.2 billion (Rs 10,000 crore+), according to Forbes. After Sunjay Kapur's passing, the board appointed Jeffrey Mark Overly as Chairman on June 23, 2025. 

Rani Kapur raises suspicions over Sanjay Kapur's death

Sunjay Kapur's death in the UK in June has been said to have "occurred in highly suspicious and unexplained circumstances" by his mother, Rani Kapur. Sunjay had suffered a heart attack while playing polo in Windsor, England, which led to his death. Reports indicated that a bee flew into his mouth, which might have caused the heart attack. 

Rani Kapur says that she was in a fragile emotional state when she was compelled to sign various papers. She wrote in the letter, "The contents of such documents have never been revealed to me."

Responding to the claims, Sona Comstar said, "For clarity, the company confirms that no documents have been signed or obtained from Rani Kapur by the company following the passing of Sunjay Kapur." 

Priya Sachdev Kapur, who is a former model and actor and was the third wife of Sunjay Kapur, hasn't responded yet to the claims made by Rani Kapur.
